Terms & End-User Licence Agreement

These terms cover your BowerBite subscription and your use of the BowerBite desktop app. By installing, trialling or subscribing to BowerBite you agree to them. In short: you pay for the seats you use, your material stays yours and stays on your computer, and Australian consumer law protects you whatever these terms say.

Who we are. BowerBite is a business name of Simon Wright, a sole trader in New South Wales, Australia (ABN 21 435 987 047). "We" and "us" means BowerBite. Contact: [email protected].

1. Free trial

Every new install gets a 30-day free trial with all features, with no card or account needed. When the trial ends, you'll need a subscription to keep searching, stitching, scouting, transcribing and translating. Your projects stay on your computer either way.

2. Subscriptions and payment

  • Plans are billed monthly or yearly per seat (one seat = one computer at a time), at the prices shown on bowerbite.com at checkout. Volume discounts apply automatically to multi-seat orders.
  • Payments are processed by our payment partner, Stripe, through its Link service, which acts as the reseller of record. It handles payment, sales tax (such as GST or VAT) and receipts. Link's own terms apply to the payment itself.
  • Subscriptions renew automatically until cancelled. You can cancel, change plan, change seats or update your card any time in the customer portal. Cancelling stops the next renewal; you keep access until the end of the period you've paid for.
  • Adding seats or upgrading takes effect straight away and is charged pro rata for the rest of the period. Removing seats or moving from yearly to monthly takes effect at your next renewal.
  • We may change prices for future billing periods. We'll email you at least 30 days before a change applies to your subscription, and you can cancel before it does.
  • Discount codes (such as FOUNDER) apply as described when you use them, and only if used within their offer period.

3. Refunds

Because you can try every feature free for 30 days first, payments aren't normally refundable, and there are no refunds for part-used periods. If something's gone wrong, such as a billing mistake or a problem we can't fix, email us and we'll put it right. Nothing in these terms limits your rights under the Australian Consumer Law, including refunds for major failures (see section 9).

4. Your licence

While your trial or subscription is active, we give you a personal, non-exclusive, non-transferable licence to install and use BowerBite on as many computers at a time as you have seats. Your licence key is for you (or your organisation's staff, for multi-seat plans). Please don't:

  • share your key beyond the seats you've paid for, or resell or rent BowerBite;
  • try to get around the licence check, trial or seat limits;
  • copy, modify or reverse-engineer the app, except as the law allows despite this restriction.

BowerBite and its name, logo and design are ours. Open-source components included in BowerBite are licensed under their own licences, listed in the app (Help menu) and in the installer. Nothing in these terms restricts your rights under those licences.

5. Activation and offline use

BowerBite activates each computer with your licence key, then checks your subscription in the background about once a week. It keeps working offline for up to 14 days between checks. For computers that must stay offline, we can supply a signed licence file instead. To move a seat to a new computer, deactivate it on the old one first (Help → Activate BowerBite), or contact us if the old computer is gone.

6. If your subscription ends

BowerBite switches to read-only. You can still open your projects, play your lines and copy or export your stash, but searching, stitching, importing, transcribing and translating are paused until you subscribe again. We never delete your files.

7. Your material

Your transcripts, footage, notes, projects and stashes are yours. BowerBite processes them on your own computer and never uploads them to us. You're responsible for having the right to use the material you load into BowerBite and for keeping your own backups.

8. Transcription, translation and search results

Real Time Transcribe, Translate, speaker detection and SCOUT use automatic, machine-learning tools. They're very useful but not perfect: words, speakers, timecodes, translations and search results can be wrong or incomplete. Please check anything important against the original footage before it goes to air or is relied on.

9. Australian Consumer Law and warranties

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If a failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.

Apart from those guarantees and any other rights that can't be excluded by law, BowerBite is provided "as is", and we don't promise it will be uninterrupted or error-free.

10. Limit of liability

To the extent the law allows, and except for the guarantees above, we're not liable for indirect or consequential loss (such as lost profits, missed deadlines or lost data), and our total liability to you is limited to the amount you paid us in the 12 months before the claim. Where the law lets us limit our liability for a guarantee to resupplying the service or paying for it to be resupplied, our liability is limited in that way.

11. Ending the agreement

You can stop using BowerBite and cancel any time. We may suspend or end a licence if it's used in serious breach of these terms (for example, a key shared widely), and we'll tell you why. If we ever stop offering BowerBite, we'll give at least 60 days' notice and refund any prepaid period you can't use.

12. Changes to these terms

We may update these terms as BowerBite grows. If a change materially affects you, we'll email you before it applies. The date at the top shows the latest version.

13. General

These terms are governed by the laws of New South Wales, Australia. If you're a consumer elsewhere, you also keep any rights the law where you live gives you. If any part of these terms can't be enforced, the rest still applies.
